1. Agreement to These Terms
These Terms of Service (the “Terms”) are a binding agreement between you and WayPoint Dynamics, Inc., a Delaware corporation operating from Georgia, United States (“WayPoint,” “we,” “us,” or “our”), governing your use of the WayPoint Marketplace at waypoint.contractors (the “Platform”). By creating an account or using the Platform you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.
2. What WayPoint Is — and Is Not
WayPoint provides an online venue where homeowners can describe construction projects, and general contractors (“GCs”) and subcontractors (“Subs”) can present their qualifications and submit bids. WayPoint also offers tools for messaging, reputation, document storage, and (where available) payment facilitation.
WayPoint is not a general contractor, builder, construction company, home-improvement contractor, broker, or party to any contract between users. We do not perform construction work, supervise projects, set prices, guarantee outcomes, or employ the contractors or subcontractors who use the Platform. Any contract for construction, services, or payment is solely between the homeowner, GC, and/or Sub. You are responsible for evaluating, selecting, contracting with, and paying the other parties to your project.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Platform. If you use the Platform on behalf of a business or other entity, you represent that you are authorized to bind that entity, and “you” refers to both you and that entity. Contractors and subcontractors are responsible for holding and maintaining all licenses, registrations, bonding, and insurance required by applicable law for the work they offer or perform.
4. Accounts
You must provide accurate, complete, and current information when you register and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly if you suspect unauthorized use. You may not share an account, impersonate another person or business, or create an account using false information.
5. Roles on the Platform
- Homeowners post projects, review bids and contractor reputations, and choose whether to accept a bid.
- General Contractors maintain a profile, view eligible projects, and submit bids to manage projects.
- Subcontractors maintain a profile, may bid on single-trade projects, and may bid on trade packages posted by GCs.
Each user is responsible for the accuracy of the information in their profile and submissions, including budgets, scopes, qualifications, licenses, and insurance.
6. Projects, Bids, and Acceptance
A posted project is an invitation for contractors to submit bids; a bid is an offer by a contractor. When a homeowner accepts a bid, the homeowner and the contractor are responsible for documenting and performing their own agreement (scope, price, schedule, change orders, warranties, and payment terms). WayPoint does not draft, review, or enforce those agreements and is not responsible for any party's performance, non-performance, or the quality, safety, legality, or timeliness of any work.
Asking a contractor for a bid. A homeowner may ask a specific contractor on the Marketplace to bid on one of their open projects. Sending a request shares with that contractor the homeowner's first name and last initial, the project's city and ZIP code, the project details and budget range the homeowner posted, and any note the homeowner adds. Phone numbers, email addresses and links are removed from the note before it is sent, and the homeowner's street address, email address and phone number are not shared until contact details are released under section 7. A request is an introduction made through the Marketplace. The contractor is not obliged to respond, and the project stays visible to other matching contractors. Contractors can turn requests off in Settings, and a contractor who reports a request is not identified to the homeowner.
7. Fees and Payments
WayPoint runs two products with two separate fee schedules, and every fee below is labeled with the product that charges it. Creating an account, maintaining a profile, posting projects, comparing bids, and submitting bids on the Marketplace are free. WayPoint Marketplace charges Marketplace fees in connection with a successful match. WayPoint PM, our separate project-management product at waypoint.construction, charges its own fees under its own Terms of Service when a project is run there.
7.1 Marketplace fees (this Platform)
One Marketplace fee applies to each match, and only one side pays it. Which side depends on whom the homeowner hired and where the job is run. The five situations are:
A homeowner hires a subcontractor directly on the Marketplace (no general contractor involved). The subcontractor pays a Marketplace fee of 5% of the accepted bid amount, capped at $25,000. It is due when the homeowner accepts the bid, and paying it confirms the job: the homeowner's contact details are released to the subcontractor once it is paid. The homeowner pays nothing. The fee is shown to the subcontractor before they bid and again before they pay.
A homeowner hires a general contractor on the Marketplace and runs the job in WayPoint PM. No Marketplace fee applies to either side. The homeowner pays the 3% WayPoint PM platform fee described in section 7.2 on each payment they make through WayPoint PM (capped at $50,000 per project), and contact details are released at acceptance so the WayPoint PM handoff can proceed.
A homeowner hires a general contractor on the Marketplace and takes the job off-platform (outside WayPoint PM). The homeowner pays a Marketplace fee of 5% of the accepted bid amount, capped at $25,000. It is due when the homeowner accepts the bid, and the general contractor's contact details are released once it is paid. The general contractor pays nothing. The homeowner never pays both this fee and the WayPoint PM 3% on the same project.
A general contractor on the Marketplace. General contractors pay no Marketplace fee: nothing to bid, nothing to win, nothing in either lane. Creating an account, maintaining a profile, viewing projects, and submitting bids are free.
A general contractor in WayPoint PM. The general contractor pays WayPoint PM's own fees under its own Terms, $199 per month (free until their first job starts) plus a flat $50 per approved draw, as summarized in section 7.2. These are not Marketplace fees and are not charged by this Platform.
Bidding is free. Submitting a bid costs nothing, and a contractor whose bid is not accepted owes nothing. Optional paid plans for contractors may be offered later; pricing will be shown before purchase and nothing is charged without your action.
7.2 WayPoint PM fees (separate product, separate Terms)
These fees are charged by WayPoint PM under the WayPoint PM Terms of Service, and are summarized here only so they are never mistaken for Marketplace fees. If the two documents ever differ, the WayPoint PM Terms govern WayPoint PM fees.
- PM homeowner platform fee — 3% of each payment the homeowner makes through WayPoint PM. It applies only to money the homeowner chooses to send through WayPoint PM; a payment made outside it carries no PM fee. These per-payment fees are capped at $50,000 per project in total, and will never exceed what the homeowner's 5% Marketplace fee would have been for the same project. The exact fee is shown before each payment is confirmed.
- PM general contractor fees — $199 per month, free until the GC's first job starts, plus a flat $50 administrative fee per approved draw, as defined in the WayPoint PM Terms. WayPoint PM charges subcontractors nothing.
The exact fee for any transaction is presented to you before you confirm it. Fees may be waived or reduced during pilot or promotional periods. Payments are processed by our third-party payment processor; by completing a payment you also agree to that processor's terms. Except as required by law or expressly stated, fees are non-refundable. We may change our fees on a going-forward basis by posting updated pricing or notifying you; changes do not apply retroactively to transactions already confirmed.
Contact exchange and refund protection. Where a 5% Marketplace fee applies, the other party's direct contact details are made available to the paying party once the fee is paid: to the homeowner once they pay their off-platform fee on a general contractor hire, and to the subcontractor once they pay their fee on a direct hire. Until then, communication remains available through on-platform messaging, which removes contact details from messages until the match is earned. If you pay a Marketplace fee, whether you are the homeowner or the subcontractor, and the other party does not respond to you within fourteen (14) days of your payment, you are entitled to a full refund of that fee — email support@waypoint.construction within 30 days of payment and we will process it. The fee is otherwise non-refundable: it pays for the match, not for the outcome of the project, and whether the two of you ultimately sign a contract, change its price, or complete the work is between you.
Paying the fee. Marketplace fees are collected by our payment processor, Stripe. When you pay by bank transfer (ACH) you authorize Stripe, on our behalf, to debit the account you designate for the amount shown, and you confirm you are entitled to authorize that debit; bank transfers take several business days to settle and contact details are released when they do. You agree not to dispute with your bank or card issuer a fee you authorized; if you believe a fee was charged in error, contact us first and we will resolve it. A fee that is disputed or returned re-locks the contact details it unlocked until it is paid.
Circumventing the fee. Using the Marketplace to find a counterparty and then contracting off-platform to avoid the fee is a breach of these Terms. If a homeowner and a contractor first connect through the Marketplace, including through a project post, a bid, a message, or a request to bid, then for twelve (12) months after that first connection any project between them is treated as a Marketplace match, even if it is later arranged outside the Marketplace or run in WayPoint PM, and the Marketplace fees in section 7.1 apply to it under the same rules: the subcontractor owes the 5% fee when the homeowner hired the subcontractor directly; the homeowner owes the 5% fee when they hired a general contractor and the job is run outside WayPoint PM; and when payments for a general contractor's job are made through WayPoint PM, the 3% WayPoint PM platform fee applies to the homeowner instead. In every case the fee is calculated on the contract price for that project and capped at $25,000, and a general contractor owes nothing. If an acceptance is withdrawn or cancelled and the homeowner and contractor proceed with the project anyway, the fee for the situation chosen at acceptance remains owed, and we may suspend either party's account and pursue the fee.
8. No Endorsement; Verification; Your Own Due Diligence
The Platform may display information that users provide about themselves — including licenses, insurance, certifications, work history, ratings, and reviews — and may display badges or status indicators based on that information or documents users upload. We do not independently verify, endorse, or guarantee the accuracy of user-provided information, the validity of any license or insurance, or the qualifications, character, or fitness of any user. You are solely responsible for vetting any party before contracting, including confirming licenses, insurance, references, and permits.
Public-record listings. To help homeowners find contractors, the Platform displays directory listings compiled from public licensing and business registration records of states and the District of Columbia, and may include open business map data, showing business name, trade, where available license type and status, and general location. These listings are not accounts, the businesses shown have not necessarily joined WayPoint, and their contact details are not published. A business may claim its listing with a code sent to the phone or email already on the public record, or by manual review, or ask us to remove it at any time via the directory opt-out page or support@waypoint.construction. License status is shown as of the date we last retrieved it and may be out of date; confirm it with the issuing agency before contracting.
9. Reviews and Reputation
Reviews, ratings, and reputation scores reflect the opinions and inputs of users and are made available for informational purposes only. You agree to submit reviews honestly and based on genuine experience, and not to post false, defamatory, retaliatory, or manipulated feedback. We may, but are not obligated to, moderate, refuse, or remove content that violates these Terms. We are not responsible for the content of user reviews.
10. User Content and License
You retain ownership of the content you submit (such as project details, photos, plans, bids, messages, and reviews). You grant WayPoint a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and use that content as needed to operate, provide, secure, and improve the Platform and to make it available to the users for whom it is intended. You represent that you have the rights necessary to submit your content and that it does not infringe the rights of others or violate any law.
11. Acceptable Use
You agree not to:
- provide false, misleading, or fraudulent information;
- use the Platform for any unlawful purpose or to solicit unlawful work;
- circumvent fees, or attempt to misuse, reverse-engineer, scrape, or disrupt the Platform or its security;
- harass, threaten, defame, or discriminate against other users, or infringe their privacy or intellectual-property rights;
- upload malware or content that is illegal, obscene, or otherwise objectionable; or
- access the Platform through unauthorized automated means or use it to build a competing service.
12. Communications, Text Messages, and Electronic Records
By creating an account, you agree to receive transactional communications related to your use of the Platform (such as account, bid, message, payment, and compliance notifications, and, for contractor accounts, a daily digest of new projects in your state) by email and in-app. You may opt out of non-essential marketing messages at any time, and contractors may turn the daily digest off in Settings or with the link in the email; account and security emails continue while you have an account.
Text messages (SMS) are optional and require your separate, affirmative consent. To receive texts you enter your own mobile number, confirm it with a one-time code sent to that number, and turn text notifications on. By doing so you consent to receive Platform-related text messages from WayPoint at that number, including messages sent using automated technology. Consent is not a condition of using the Platform or of any purchase. Message frequency varies; message and data rates may apply. Reply STOP to opt out at any time or change your settings; reply HELP for help. Listing-claim codes and password-reset links are sent only to a number already on record for you and only at your request. Carriers are not liable for delayed or undelivered messages.
Electronic records. You agree to transact electronically and that notices, acceptances, and records made through the Platform have the same effect as signed paper under the U.S. ESIGN Act and applicable state law. See our Privacy Policy for how we handle your information.
13. Third-Party Services
The Platform is built on third-party providers whose terms also apply: Stripe (payments), Supabase (hosting and data), Vercel (application hosting), Resend (email), and Telnyx (text messages). Where the Platform hands a project to WayPoint's project-management product, that product's Terms govern your use of it. We are not responsible for third-party services or their decisions (for example, a processor declining a payment or a bank returning a debit), and a third-party outage is not a breach of these Terms by WayPoint.
14. Intellectual Property
The Platform, including its software, design, text, graphics, and the WayPoint name and logo, is owned by WayPoint or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Platform for its intended purpose. All rights not expressly granted are reserved.
15. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY USER, BID, PROJECT, OR INFORMATION ON THE PLATFORM IS ACCURATE, COMPLETE, LICENSED, INSURED, OR SUITABLE. WE MAKE NO WARRANTY REGARDING THE QUALITY, SAFETY, OR LEGALITY OF ANY WORK ARRANGED THROUGH THE PLATFORM.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYPOINT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR CONSTRUCTION DEFECTS, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM OR ANY DEALINGS WITH OTHER USERS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO WAYPOINT IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
17. Indemnification
You agree to indemnify and hold harmless WayPoint and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your content, your violation of these Terms or any law, or your dealings or disputes with other users.
18. Termination
You may stop using the Platform at any time. We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms or to protect the Platform or its users. Provisions that by their nature should survive termination (including fees owed, content license, disclaimers, limitation of liability, indemnification, and governing law) will survive.
19. Governing Law, Arbitration, and Class-Action Waiver
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act.
Informal resolution first. Before starting any formal proceeding, you agree to email support@waypoint.construction with a description of the dispute and give us 30 days to resolve it with you.
Binding arbitration. Any dispute between you and WayPoint arising out of or relating to these Terms or the Platform that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer or Commercial Arbitration Rules, as applicable, before a single arbitrator, seated in Georgia, with the arbitrator deciding all issues including arbitrability. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or the security of the Platform. You and WayPoint each waive the right to a jury trial and to participate in a class, collective, or representative action. If the class-action waiver is found unenforceable as to a claim, that claim proceeds in the state or federal courts located in Georgia, to whose exclusive jurisdiction and venue you consent. You may opt out of this arbitration provision by emailing us within 30 days of first accepting these Terms with your name and account email.
Disputes between users — including every disagreement about a bid, contract, price, schedule, quality, payment, or the work itself — are not disputes with WayPoint and are not subject to this Section.
20. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Platform after changes take effect means you accept the updated Terms.
